Terms of Service
These Terms of Service (“Terms”) are a binding agreement between you and Grafy AI Group (“Grafy”, “we”, “us”) governing your access to and use of grafy.ai and its related applications, APIs, and services (together, the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 13 years old (or the minimum age of digital consent in your country) to use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to accept these Terms on its behalf, and “you” refers to that organization.
2. Your account
- You sign in through a third-party provider (Google, Discord, GitHub, Facebook, or Hugging Face). You are responsible for maintaining the security of the account you use to sign in.
- You are responsible for all activity that occurs under your account.
- Notify us promptly at s-admin@grafy.ai if you believe your account has been compromised.
3. Acceptable use
You agree not to use the Service to create, upload, or distribute content, or to take any action, that:
- Is unlawful, infringing, defamatory, harassing, hateful, or that violates the rights (including intellectual property, privacy, or publicity rights) of others.
- Is sexually explicit involving minors, or that sexualizes or exploits any real person without consent.
- Depicts or facilitates violence, self-harm, or illegal activity, or creates deceptive impersonations, deepfakes, or misinformation intended to deceive.
- Contains malware, or attempts to probe, scan, disrupt, overload, reverse engineer, or gain unauthorized access to the Service or its infrastructure.
- Circumvents usage limits, credit systems, rate limits, or access controls, or resells or redistributes the Service without our written permission.
- Violates the terms of any connected third-party platform (for example, when publishing to social networks through the Service).
We may suspend or terminate access, and remove content, for any actual or suspected violation of these Terms.
4. Your content
“Your Content” means the prompts, files, documents, and other materials you submit, and the images, video, audio, text, models, and graphs you generate or edit using the Service. As between you and Grafy, you retain all rights you hold in Your Content.
You grant Grafy a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, and display Your Content solely as needed to operate, secure, and improve the Service and to provide it to you — including transmitting Your Content to the third-party processors described in our Privacy Policy (such as cloud AI providers) to fulfil the operations you request. This license ends when you delete Your Content or your account, except for content already shared with others, and for backups or records retained as required by law.
You represent that you have the rights necessary to submit Your Content and to grant the license above.
5. AI-generated output
- The Service uses artificial intelligence to generate output. Output may be inaccurate, incomplete, or offensive, and may not be unique — similar output may be generated for other users. You are responsible for reviewing and verifying output before relying on or publishing it.
- To the extent permitted by law and by the underlying model providers, we do not claim ownership of the output you generate. Your rights in output may be limited by the terms of the underlying AI models and by applicable law, and AI-generated material may not be eligible for certain intellectual-property protection.
- You are solely responsible for how you use output, including ensuring it does not infringe third-party rights or violate any law.
6. Third-party services & social publishing
The Service integrates with third-party platforms (for example, sign-in providers, cloud AI providers, payment processors, and social networks you connect for publishing). Your use of those platforms is governed by their own terms and policies, and we are not responsible for them. When you connect an account to publish content, you authorize us to act on your behalf on that platform for the features you use, and you remain responsible for complying with that platform’s rules.
7. Credits, payments & subscriptions
- Certain features consume credits or require a paid subscription. Prices, credit costs, and plan features are shown in the app and may change; changes apply prospectively.
- Payments are processed by Stripe. We do not receive or store your full card number.
- Subscriptions renew automatically for the stated period until cancelled. You may cancel at any time, effective at the end of the current billing period.
- Except where required by law, payments and purchased or consumed credits are non-refundable, and unused credits may expire as described in the app.
- You are responsible for any taxes associated with your purchases, except taxes on our income.
8. Our intellectual property
The Service, including its software, models, interfaces, branding, and content we provide (excluding Your Content and third-party materials), is owned by Grafy or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose, subject to these Terms. We reserve all rights not expressly granted.
9. Feedback
If you send us suggestions or feedback, you grant us a perpetual, irrevocable, royalty-free license to use it for any purpose without obligation to you.
10. Disclaimer of warranties
The Service and all output are provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, error-free, or that output will meet your requirements.
11. Limitation of liability
To the maximum extent permitted by law, Grafy and its owners, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or related to your use of (or inability to use) the Service. Our total liability for all claims relating to the Service will not exceed the greater of (a) the amount you paid us for the Service in the three months before the event giving rise to the claim, or (b) US $100. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
12. Indemnification
You agree to indemnify and hold harmless Grafy and its owners, employees, and suppliers from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of Your Content, your use of the Service, or your violation of these Terms or of any law or third-party right.
13. Termination
You may stop using the Service and delete your data at any time (see the Data Deletion instructions). We may suspend or terminate your access at any time, with or without notice, if you violate these Terms or if we discontinue the Service. Provisions that by their nature should survive termination (including sections 4–5 and 8–15) will survive.
14. Changes to the Service and these Terms
We may modify or discontinue features of the Service at any time. We may also update these Terms; material changes will be reflected by the “Last updated” date above, and your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
15. Governing law & disputes
These Terms are governed by the laws of the jurisdiction in which Grafy AI Group is established, without regard to conflict-of-laws rules, and the courts of that jurisdiction will have exclusive jurisdiction over any dispute, except where mandatory local consumer-protection law provides otherwise. Nothing in these Terms limits any statutory rights that cannot be waived.
